Welcome to Billsder. These Terms of Service ("Terms") govern your access to and use of Billsder's website, services, and applications (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms.
2. Definitions
- "Billsder," "we," "us," and "our" refer to Billsder and its affiliates.
- "User," "you," and "your" refer to the individual or entity using our Services.
- "Content" refers to any information, text, graphics, or other materials uploaded, downloaded, or appearing on the Services.
- "Service Level Agreement (SLA)" refers to the specific service levels and performance metrics for the Services.
- "Confidential Information" means any information disclosed by either party to the other that is marked as confidential or that should reasonably be understood to be confidential.
- "Data Protection Laws" means all applicable laws and regulations relating to the processing of personal data.
- "Force Majeure Event" means any event beyond our reasonable control.
3. Contract Term and Termination
These Terms commence on the date you first access or use the Services and continue until terminated. Either party may terminate these Terms by providing written notice:
- For convenience with 30 days' written notice
- Immediately for material breach of these Terms
- Upon insolvency or bankruptcy of either party
4. Service Description and Setup
Billsder provides a comprehensive business management solution including:
- Document management (invoices, quotes, purchase orders)
- Financial management and tracking
- Inventory management
- Customer and supplier relationship management
- Multi-user access and collaboration tools
- Payment processing solutions
Initial setup and configuration services are included in the subscription fee. Custom development services may be available at additional cost.
5. Hosted Services and Service Levels
Our Services are provided as a cloud-based solution with the following service levels:
- 99.9% uptime guarantee for core services
- 24/7 system monitoring
- Regular security updates and maintenance
- Data backup and disaster recovery procedures
6. Support and Maintenance
We provide the following support services:
- Email support during business hours
- Online knowledge base and documentation
- Regular system updates and maintenance
- Bug fixes and security patches
7. Customer Obligations and Data
As a customer, you agree to:
- Provide accurate and complete information
- Maintain the security of your account
- Comply with all applicable laws and regulations
- Back up your data regularly
- Notify us of any security breaches
8. Mobile Applications
Our mobile applications are subject to:
- App store terms and conditions
- Device compatibility requirements
- Regular updates and maintenance
- Security and privacy requirements
9. Charges and Payment
Payment terms include:
- Subscription fees are billed in advance
- Payment is due within 30 days of invoice
- Late payments may result in service suspension
- All fees are exclusive of taxes
10. Confidentiality
Both parties agree to:
- Maintain confidentiality of all confidential information
- Use confidential information only for the purpose of these Terms
- Not disclose confidential information to third parties
- Return or destroy confidential information upon termination
11. Data Protection
We comply with applicable Data Protection Laws and:
- Process personal data only as necessary to provide the Services
- Implement appropriate security measures
- Provide data processing agreements when required
- Assist with data subject requests
12. Warranties and Indemnities
We warrant that:
- The Services will perform materially in accordance with the documentation
- We have the right to provide the Services
- The Services do not infringe third-party intellectual property rights
13. Limitation of Liability
Our liability is limited to:
- The amount paid by you in the 12 months preceding the claim
- Direct damages only
- Exclusion of indirect, consequential, and punitive damages
14. Insurance
We maintain:
- Professional liability insurance
- Cyber liability insurance
- General liability insurance
15. Force Majeure
Neither party shall be liable for any failure or delay in performance due to Force Majeure Events, including but not limited to:
- Natural disasters
- War or terrorism
- Government actions
- Network or power failures
16. Export Restrictions
You agree to comply with all applicable export laws and regulations. You shall not export or re-export the Services to any country or entity subject to export restrictions.
17. Anti-Corruption
Both parties agree to comply with all applicable anti-corruption laws and regulations, including but not limited to the Foreign Corrupt Practices Act and the UK Bribery Act.
18. Non-Solicitation
During the term and for 12 months after termination, neither party shall solicit the other party's employees or contractors without prior written consent.
19. Contractual Notices
All notices must be in writing and sent to the addresses provided in the account information. Notices are deemed received when delivered or 3 business days after mailing.
20. Subcontracting
We may subcontract any part of the Services, but remain responsible for the performance of our subcontractors.
21. Assignment and Third-Party Rights
Neither party may assign these Terms without the other party's written consent. These Terms do not create any third-party rights.
22. Governing Law and Dispute Resolution
These Terms are governed by the laws of the jurisdiction in which Billsder operates. Any disputes shall be resolved through:
- Good-faith negotiations
- Mediation
- Arbitration if mediation fails
- Court proceedings as a last resort
